3. Client Responsibilities
As a client, you agree to:
– Provide accurate and complete information necessary for the Company to perform its services.
– Cooperate with the Company by providing timely access to relevant data and personnel.
– Notify the Company promptly of any changes in your practice that may affect billing or claims processing.
4. Fees and Payment
– Our fees for services are outlined in the service agreement signed by both parties.
– Invoices are issued on a monthly basis and are payable within 30 days of the invoice date unless otherwise specified.
– Late payments may incur interest at the rate specified in the service agreement.
5. Confidentiality
– Both parties agree to maintain the confidentiality of all proprietary information and patient data in accordance with applicable laws, including HIPAA regulations.
– The Company will use reasonable safeguards to protect the confidentiality of your information.
6. Compliance
– The Company complies with all applicable laws and regulations governing medical billing and coding practices.
– You are responsible for ensuring that your practice complies with applicable healthcare regulations and providing necessary documentation for compliance purposes.
7. Term and Termination
– These Terms remain in effect until terminated by either party.
– Either party may terminate the service agreement with 30 days written notice.
– Upon termination, all outstanding fees for services rendered up to the termination date must be paid in full.
8. Limitation of Liability
– The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services.
– The Company’s total liability for any claim arising under these Terms shall not exceed the amount paid by you for the services in the three months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Smart Medical Billing Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees, arising out of or in any way connected with your use of our services or your violation of these Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State in which the Company is headquartered, without regard to its conflict of law principles.
11. Dispute Resolution
– Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties.
– If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
12. Amendments
The Company reserves the right to amend these Terms at any time. Any amendments will be effective upon posting on our website. Your continued use of our services after the posting of amendments constitutes your acceptance of the amended Terms.
